The team advised on an extensive legal and financial due diligence exercise and worked closely with the shareholders through to exchange of contracts and subsequent completion of the sale.
The shareholders were also assisted by Nockolds’ Employment and Commercial Property teams.
Partner, Gary Smith of Nockolds’ Employment team, assisted the shareholding directors in successfully negotiating their exit packages and advising them on the terms of their rights and obligations as employees of the Company.
Associate Natasha Narad of Nockolds’ Commercial Property team advised on the company’s multiple leases and additional warehouse premises to help prepare the company for sale. This included preparation and collation of all property documents and guiding the company through the extensive property due diligence process.
James Brunton commented: “this sale involved a multiple team effort, demonstrating Nockolds’ ability to work across the multi-disciplines typically required in significant M&A transactions in a coordinated and efficient manner achieving the best outcome for our clients.”
