Partner James Brunton and Associate Cameron McColl of Nockolds’ Corporate and Commercial team advised the sole shareholder of Utility Line Ltd on the company’s share sale to national environmental consultancy, Adler & Allan Limited.
Utility Line provides installation services for electric vehicle charging points at services stations, shopping centres, multi-storey car parks, bus stations and various other commercial locations in the UK.
The Corporate and Commercial team advised the seller on the buyer’s legal and commercial due diligence investigation of the company, and liaised with accountancy firm Price Bailey LLP on the terms of the sale and purchase contract.
The seller was also assisted by Nockolds’ Employment and Commercial Property teams in relation to warranties in the share purchase agreement and various ancillary documents.
